Crust: mix the following ingredients and pat into a 9x13 inch pan:

1 Stick soft butter
2 TBSP Sugar
1 C Flour
½ Cup chopped walnuts

Bake at 350 degrees for 8 to 10 minutes; Cool Crust

2^nd layer: beat together the following and spread on cooled crust

8 ounces softened cream cheese
2/3 Cup Powdered Sugar
6 ounces of Cool Whip

3^rd layer: mix together the following for two minutes then spread over 2^nd layer:

2 pkg. Instant lemon pudding
2 ½ Cups cold milk

Top with remaining cool whip and keep refrigerated.
